Description

The Tax Cuts and Jobs Act has totally changed the rules (at least temporarily).  Every practitioner will need to revisit his or her tax planning strategies.  For example, our panel will review:
 
What is the one-year planning opportunity for alimony/divorce?  
Traditional estate plans may produce tax detriments due to the lack of a step up in basis while producing no estate tax benefits.  How will you address those issues?  When should you consider dissolving the family partnership or LLC?
Is a C corporation a good tax planning tool now?
100% expensing provides huge planning possibilities but can result in inability to take interest deductions.
Traditional investments in oil and gas drilling funds and other business ventures and/or exiting a passive activity can produce excess business losses that may not be fully utilized immediately under a new statute.
The new deduction for pass-through entities will not help everyone and in some cases can cause marginal tax rates to soar.
The new deduction for pass-through entities is highly dependent on decisions you make regarding a variety of deductions including charitable deductions, expensing elections and other deductions.  Do you understand why?
The loss of investment expense deductibility and the new deduction for pass-through entities are going to push taxpayers to look for trade or business classification.  Can they get there?  What about those rental properties?
Is an S corporation preferred over a partnership or a disregarded entity under the new deduction for pass-through entities?
When is an S corporation shareholder now under even greater temptation to pay even lower salaries?
What are the new developments affecting basis adjustments for partnerships?
 
Congress has fixed the grain glitch in the Tax Cuts and Jobs Act.  The IRS has begun to issue notices regarding various provisions in the Act.  Planners are beginning to develop strategies to address various provisions of the Act.  Clients are beginning to separate the rumors and promises from the reality of what made it into the actual Act. Plus, there are new regulations on the new audit rules with some included surprises.
 
This is not just a course about the Tax Cuts and Jobs Act.  This is the course that explains the Act and looks into what is happening now and what may happen in the near future.

C. Clinton Davis, JR. practices law in the Dallas, Texas law firm of Krage & Janvey, L.L.P.  He was licensed in Texas in 1982, has been Board Certified in Tax Law by the Texas Board of Legal Specialization since 1988 and is a member of the College of the State Bar of Texas.  He has also been licensed as a Certified Public Accountant in Texas since 1980 and as an attorney in Florida since 1980.  Mr. Davis attended law school at Southern Methodist University and received his Juris Doctor degree, cum laude, in 1980.  At SMU, Mr. Davis was selected to membership in the Order of the Coif, an honor society limited to graduates in the top 10% of the graduating class.  Mr. Davis received his bachelor of science degree in accounting from Northwestern State University of Louisiana where he graduated first in his class.  Mr. Davis is a frequent speaker at CPE programs and conferences.  He is the author of the TSCPA programs Principles of LLC and Partnership Taxation:  An Introduction to Subchapter K, Navigating the LLC and Partnership Allocation and Basis Minefield, and LLC and Partnership Taxation for the Sophisticated Practitioner.

William Hornberger, JD, CPA, is passionate about the practice of law and about helping people and enterprises achieve business goals.  For nearly 30 years, he has practiced in the areas of tax, transactional, international and corporate law at Jackson Walker and has loved every minute of it!  His tax practice has touched nearly every area of the tax law, including corporate, partnerships and LLCs, international, real estate, corporate, oil and gas, bankruptcy, tax credit and tax controversy and procedural matters.  His broad transactional practice includes mergers and acquisitions, complex partnership, joint venture, real estate and private equity arrangements, complicated cross-border business structuring matters involving investors from multiple countries, Tax Treaty and IRS Competent Authority matters.  He has represented taxpayers on tax controversy matters in IRS administrative appeals and before the U.S. Tax Court, the U.S. District Court, the U.S. Bankruptcy Court, the Courts of Appeals for the Fifth and Eleventh Circuits and the U.S. Court of International Trade. Active professionally, William is a member of the American Bar Association, the State Bar of Texas, and has acted as Chair of its Section of Taxation. He is also a member of the AICPAs, and served on its Council. William is a member of the Texas Society of CPAs and served as its Chair, and on its Executive Board.

Bruce McGovern is a tenured member of the faculty at South Texas College of Law Houston, where he also serves as Director of the school’s Low Income Taxpayer Clinic.  Previously, he served for many years as the school’s Vice President and Associate Dean for Academic Administration.  He received his undergraduate degree from Columbia University and his law degree from Fordham University School of Law.  After law school, he served as a judicial clerk for Judge Thomas Meskill on the U.S. Court of Appeals for the Second Circuit in New York.  He then practiced law with the law firm of Covington & Burling in Washington, D.C.  He subsequently earned an LL.M. in Taxation from the University of Florida Levin College of Law, where he taught as a visiting faculty member before joining the faculty at South Texas College of Law Houston.

 

Professor McGovern teaches and writes in the areas of business organizations and taxation.  His courses include Federal Income Taxation, U.S. Taxation of International Transactions, Partnership and Subchapter S Taxation, and Federal Tax Procedure.  He frequently speaks on recent developments in federal income taxation.  Professor McGovern is a member of the Council of the State Bar of Texas Tax Section, a former Chair of the Houston Bar Association Section of Taxation, and a Fellow of the American College of Tax Counsel.
